Client/User: (“you,” “your”)

By using our services, entering into a service agreement, or engaging with our team, you agree to the terms and conditions outlined below. If you do not agree, please refrain from using our services.

1. Services Provided

IT TechPros offers managed IT services including, but not limited to:

  • Network and infrastructure management

  • IT consulting and strategic planning

  • Helpdesk and technical support

  • Cybersecurity solutions

  • Cloud services and backup

  • Hardware and software procurement

All services will be delivered as outlined in the service agreement or scope of work provided to you.

2. Service Availability & Support

We strive to provide reliable, high-quality service. Scheduled maintenance or updates may cause temporary disruptions, which we aim to minimize.

Support services are available during our standard business hours:

8:00 AM - 5:00 PM PST.

Emergency support outside of these hours may be subject to additional fees.

3. Client Responsibilities

You agree to:

  • Provide accurate and up-to-date information for service delivery

  • Maintain the confidentiality of login credentials

  • Comply with all applicable laws and regulations

  • Not use our services for malicious, illegal, or abusive activities

  • Inform us promptly of any security concerns, breaches, or technical issues

4. Fees and Payments

All pricing and payment terms are outlined in your service agreement.

  • Invoices are due upon receipt or as specified in the agreement

  • Late payments may incur interest or result in suspension of services

  • Custom projects or emergency work outside the scope may be billed separately

5. Data Protection and Privacy

We take data security seriously and follow industry best practices to protect your information. Our use of personal data is governed by our Privacy Policy.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared in the course of business. This includes but is not limited to business plans, network details, passwords, and internal documents.

7. Intellectual Property

All intellectual property provided by IT TechPros, including documentation, software configurations, and tools, remains our property unless otherwise agreed upon in writing.

You retain all rights to your own data and content.

8. Termination

Either party may terminate the agreement with written notice, subject to the terms in your service contract.

We may suspend or terminate services immediately if:

  • Payment is overdue

  • There is suspected misuse or violation of terms

  • Required client cooperation is not provided

Any prepaid fees are non-refundable unless otherwise agreed.

9. Limitation of Liability

We aim to deliver services with professionalism and care. However, IT TechPros is not liable for:

  • Loss of data or business interruption unless explicitly covered in a contract

  • Indirect, incidental, or consequential damages, including but not limited to loss of profits, loss of opportunity, or reputational harm.

  • Issues caused by third-party vendors, services, or hardware

  • Actions, errors, or omissions by the client’s employees, contractors, or representatives, including accidental deletion of data, unauthorized system access, or failure to follow provided instructions or security protocols.

10. Warranties and Disclaimers

All services are provided “as is” and “as available.” We do not guarantee that services will be error-free or uninterrupted.

11. Changes to Terms

We may update these Terms of Service from time to time. You will be notified of significant changes. Continued use of our services constitutes your acceptance of any updates.

12. Governing Law

These terms are governed by the laws of California, without regard to conflict of law principles. Any disputes will be handled in the courts of North County San Diego.
